01. Agreement to Terms
These Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“Client”, “you”, or “your”) and SprintLabs AI (“SprintLabs”, “we”, “us”, or “our”), governing your access to and use of our website (sprintlabsai.com) and all related software engineering, code rescue, diagnostic audit, and technical consulting services.
By submitting an audit intake form, booking a strategy consultation, or executing a Statement of Work (SOW), you agree to be bound by these Terms in full.
02. Scope of Engineering Services
SprintLabs provides senior software engineering services across four primary tiers:
Diagnostic code analysis, vulnerability scan, and fixed-price quotation provided with zero obligation.
Rapid emergency hotfix for broken builds, Supabase auth loops, CORS errors, and Stripe payment webhook failures.
1 to 2-week dedicated senior engineering sprint refactoring AI-generated code, database indexing, and production deployment.
Ongoing monthly fullstack engineering, continuous feature delivery, AI agent iteration, and fractional CTO advisory.
03. 100% Intellectual Property Assignment
We operate under a strict, unencumbered Work-for-Hire standard:
- Client Ownership: Upon receipt of full payment for an agreed milestone or sprint, SprintLabs assigns all right, title, and interest in and to all custom software, code commits, database schemas, scripts, and documentation created specifically for the Client.
- No Vendor Lock-In: All code is delivered in standard, clean TypeScript / Node / PostgreSQL with zero proprietary SprintLabs runtime lock-in.
- Pre-Existing Tools: Open-source libraries (e.g. Next.js, React, Tailwind, Supabase) remain subject to their respective MIT, Apache, or open-source licenses.
04. 30-Day Post-Launch Bug Warranty
All custom deliverables completed under a Fixed-Price Rescue Sprint are backed by our 30-Day Post-Launch Bug Warranty. If any code authored by SprintLabs contains defects or regressions within 30 days of production deployment, SprintLabs will remediate such issues at zero additional cost, provided the codebase has not been modified by third parties.
05. Milestone Payments & Pricing
- Fixed-Price Quotations: Sprint quotes are milestone-based and locked upfront with zero surprise hourly meters.
- Deposit & Delivery: Fixed-price sprints typically require a 50% initial milestone deposit, with the remaining 50% payable upon final staging sign-off and production deployment.
- Multi-Currency Settlement: Invoices are settled in USD ($), INR (₹), or EUR (€) via Stripe, bank wire, or verified payment escrow.
06. Confidentiality & Non-Disclosure
Each party agrees to hold the other party's proprietary business information, source code, API keys, customer records, and trade secrets in strict confidence. SprintLabs will execute mutual Non-Disclosure Agreements (NDAs) prior to repository access upon request.
07. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall SprintLabs AI, its partners, or engineers be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business interruption. SprintLabs' total cumulative liability arising out of or related to any engagement shall not exceed the total fees actually paid by the Client to SprintLabs under the applicable Statement of Work in the three (3) months preceding the claim.
08. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with international commercial arbitration standards and applicable law. Any disputes arising hereunder shall be resolved through good-faith mutual negotiation followed by binding commercial arbitration.
